Welcome to Zingaro AI. These Terms of Service ("Terms") govern your access to and use of our voice AI platform, website, APIs, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

2. Account Registration and Security

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3. Payment Terms

For subscription-based Services, you will be billed in advance on a recurring basis based on your subscription plan (monthly, quarterly, or annual). Your subscription will automatically renew unless you cancel it before the next renewal date.

We may change our prices at any time, but we will provide you with advance notice of any price changes. If you do not agree to the price change, you have the right to cancel your subscription before the price change takes effect.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services to create deepfakes or other misleading content without proper disclosures
• Use the Services to harass, abuse, or harm another person or to create or transmit material that is harassing, threatening, or obscene
• Use our voice cloning technology without obtaining proper consent from the voice owner
• Engage in any automated use of the system, such as using scripts to send information
• Interfere with, disrupt, or create an undue burden on the Services or the networks connected to the Services

We reserve the right, in our sole discretion, to determine whether your use of the Services violates these Terms. If we determine that you have violated these Terms, we may terminate your access to the Services.

5. Intellectual Property Rights

The Services and their contents, features, and functionality are owned by Zingaro AI and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business purposes.

5.1 Your Content

You retain ownership of any content you submit, upload, or create through our Services ("Your Content"). By submitting, uploading, or creating content through our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display Your Content for the purpose of providing and improving our Services.

You represent and warrant that you own or have the necessary rights to Your Content and that Your Content does not violate the rights of any third party.

5.2 Voice Data

For voice cloning services, you represent and warrant that you have obtained all necessary consents from the voice owner before uploading any voice data. You acknowledge that using someone's voice without their consent may violate privacy laws and could result in legal consequences.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZINGARO AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

1. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
2. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
3. ANY CONTENT OBTAINED FROM THE SERVICES; AND
4. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

7. Indemnification

You agree to defend, indemnify, and hold harmless Zingaro AI, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Contributions, any use of the Services' content, services, and products other than as expressly authorized in these Terms.

8. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Hyderabad, India, for the resolution of any dispute arising from or relating to these Terms or your use of the Services.

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website or through other communication channels. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
